By accessing or using the 1719 Capital Research Terminal platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you and 1719 Capital Research Terminal ("Company", "we", "us"). The Service is intended solely for professional and commercial use by individuals aged 18 or older.

1719 Capital Research Terminal provides a subscription-based research platform that aggregates and analyses publicly available data across multiple investment-research domains, including but not limited to: corporate hiring activity, store-network changes, SEC filings (Form 4 insider activity, 8-K corporate events, S-1/424 prospectuses, spinoff and rights-offering disclosures), Congressional financial disclosures, investor-day and earnings transcripts, and chart-pattern screens.

All data displayed is derived from publicly available sources and is provided for informational and educational purposes only. It does not constitute financial, investment, tax, or legal advice, and is not a recommendation to buy, sell, or hold any security. Access to the Service requires a paid Pro subscription. Subscriptions are billed on a recurring monthly basis via Stripe. By subscribing, you authorise us to charge the payment method on file at the then-current subscription rate.

Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; no refunds are issued for the remaining portion of a billing period.

We reserve the right to modify subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You agree not to:

• Use the Service for any unlawful purpose;
• Attempt to reverse-engineer, scrape, or extract the underlying data via automated means beyond normal platform use;
• Share, resell, or redistribute data obtained through the Service without our prior written consent;
• Circumvent any access controls, authentication mechanisms, or rate limits;
• Impersonate any person or entity or misrepresent your affiliation with any organisation;
• Interfere with or disrupt the integrity or performance of the Service.

All software, visual designs, algorithms, documentation, and compiled analytics are the exclusive property of 1719 Capital Research Terminal and protected by copyright and intellectual property law. Your subscription grants you a limited, non-exclusive, non-transferable licence to access the Service for your internal business purposes.

You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

The Service aggregates data from publicly accessible third-party sources. We make no representations or warranties regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of the data presented.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1719 ANALYTICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

You agree to indemnify and hold harmless 1719 Capital Research Terminal, its directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to the Service or other users. Upon termination, your right to access the Service will immediately cease.

These Terms are governed by the laws of the State of Delaware, United States. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We may revise these Terms at any time. Material changes will be communicated by email to registered users at least 14 days before taking effect. Continued use of the Service after revised Terms take effect constitutes your acceptance.
